1. AGREEMENT TO TERMS

TEKA Communications Inc. (“Company,” “we,” “us,” or “our”) provides the website www.tekacommunications.com, communication platforms, AI-assisted messaging tools, automation services, and related digital solutions (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms & Conditions (“Terms”), all applicable federal and provincial laws of Canada, including the laws of Ontario, and all regulations applicable to your use of the Services. If you do not agree, you may not access or use the Services.

These Terms constitute a legally binding agreement between you (“User,” “Client,” or “you”) and TEKA Communications Inc.

Eligibility: You must be at least 18 years old and legally capable of entering into a binding contract under Ontario law.

2. DESCRIPTION OF SERVICES

TEKA Communications provides full-service communication and automation solutions, including but not limited to:

  • AI-assisted messaging and conversational automation

  • Email and SMS communication workflows

  • Client engagement and follow-up automation

  • Appointment coordination and scheduling support

  • Workflow automation and CRM-related tools

  • Integration with third-party platforms and portals

The Services are intended for business and professional use. You are solely responsible for ensuring your use of the Services complies with all applicable laws, industry regulations, and professional standards.

3. USER REGISTRATION & ACCOUNT RESPONSIBILITIES

Certain features require account registration. By creating an account, you agree to:

  1. Provide accurate, current, and complete information

  2. Maintain the confidentiality of your login credentials

  3. Accept responsibility for all activity under your account

  4. Notify us immediately of unauthorized access or security breaches

TEKA Communications reserves the right to suspend, terminate, or reclaim accounts or usernames that violate these Terms or are deemed inappropriate, misleading, or abusive.

4. INTELLECTUAL PROPERTY

Ownership

All software, systems, content, branding, designs, AI models, workflows, documentation, logos, and materials (collectively, “Intellectual Property”) are owned by or licensed to TEKA Communications.

Limited License

You are granted a limited, non-transferable, non-exclusive license to use the Services solely for your internal business purposes. You may not copy, reproduce, distribute, sell, sublicense, reverse-engineer, or create derivative works without prior written consent.

User Submissions

Any feedback, suggestions, ideas, or submissions you provide may be used by TEKA Communications without restriction or compensation. You represent that such submissions are lawful and do not infringe on third-party rights.

5. PAYMENT, SUBSCRIPTIONS & FEES

Subscription Terms

  • Services may be offered via monthly or annual subscription plans

  • Fees are due in advance of each billing cycle

  • Subscriptions renew automatically unless canceled

  • Fees are non-refundable unless required by law

Additional Charges

Usage beyond plan limits or optional add-on services may incur additional fees, which will be disclosed before being applied.

Pricing Changes

We reserve the right to modify pricing with reasonable notice.

6. SOFTWARE USE & LICENSE DISCLAIMERS

All software and AI-based tools are licensed, not sold.

  • Software is provided “AS IS” and “AS AVAILABLE”

  • We make no guarantees regarding accuracy, uptime, or outcomes

  • AI-generated content is informational and not professional advice

You assume all risks associated with the use of AI-assisted communications.

7. USER CONDUCT & PROHIBITED ACTIVITIES

You agree not to:

  1. Use the Services for illegal, deceptive, or harmful purposes

  2. Send spam, abusive, or unlawful messages

  3. Interfere with system security or performance

  4. Upload malware, viruses, or malicious code

  5. Attempt unauthorized access to accounts or data

  6. Use automation in violation of applicable communication laws

Violations may result in suspension, termination, and legal action.

8. DATA COLLECTION & PRIVACY

Our data practices are governed by the TEKA Communications Privacy Policy.

  • We comply with PIPEDA and applicable Canadian privacy laws

  • Data is collected to provide, maintain, and improve Services

  • De-identified or aggregated data may be used for analytics and product development

  • Third-party integrations are subject to their own privacy policies

No system is entirely secure. You acknowledge and accept this risk.

9. DISCLAIMER OF WARRANTIES

The Services are provided “AS IS” and “AS AVAILABLE.”

TEKA Communications expressly disclaims all warranties, including:

  • Fitness for a particular purpose

  • Accuracy or reliability of AI outputs

  • Uninterrupted or error-free operation

  • Compatibility with third-party tools

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, TEKA Communications is not liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits, data, or business opportunities

  • Service interruptions or AI-related errors

Total liability, if any, is limited to fees paid in the six (6) months preceding the claim

11. INDEMNIFICATION

You agree to indemnify and hold harmless TEKA Communications from claims arising from:

  1. Your use of the Services

  2. Violation of these Terms

  3. Breach of laws or third-party rights

12. TERMINATION & SUSPENSION

We may suspend or terminate access:

  • For violation of these Terms

  • For misuse or unlawful activity

  • For non-payment

Termination may include loss of access and deletion of data. You may not re-register after termination.

13. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of Ontario, Canada.

Disputes shall:

  • Attempt informal resolution for 30 days

  • Proceed to binding arbitration in Ontario if unresolved

  • Exclude class actions

14. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive electronic communications, including service notices, billing, and transactional messages. Marketing communications require opt-in and include unsubscribe options.

15. MISCELLANEOUS

  • Entire Agreement: These Terms constitute the full agreement

  • Severability: Invalid provisions do not affect remaining Terms

  • No Waiver: Failure to enforce is not a waiver

  • No Agency: No partnership or employment relationship is created
